USER LICENSE AGREEMENT AVFUEL CORPORATION (“Avfuel") grants to you (the “User”) a limited, non-exclusive, non-transferable, and revocable license to access the Training Systems Website (the “Website”). Avfuel has provided to the User (each a “Party” and collectively the “Parties”) individualized log in credentials (the “User ID”) to access the Website for the purposes of receiving training in the operation of fixed base operations (the “Training Systems”) at an Avfuel branded fixed base operation (the “FBO”) and contains confidential and proprietary information (the "Confidential Information") for exclusive use by the User. Access to the Website is conditioned upon the User’s acceptance without modification of the terms and conditions contained herein; and use of the Website constitutes the User’s agreement to all such terms and conditions. WEBSITE ACCESS AGREEMENT The user agrees to access the Website upon the following terms and conditions: 1) The User agrees not to share its User ID with any other person; 2) The User agrees to access the Website only for the purpose of receiving training in the operation of fixed base operations; 3) The User agrees the information contained on the Website may not be transferred, shared with or disseminated to any other party for any other reason; 4) The User agrees not to reproduce the contents of the Website, provided, however, that the User may print written material from the Website for the User’s training in the operations of the FBO; 5) The User agrees not to make any use of the Website that is unlawful or prohibited by these terms and conditions; and 6) Avfuel may terminate or suspend this license at any time, with or without cause or notice to you. Upon termination, the User agrees to abide by the terms of the Confidential Information Agreement. CONFIDENTIAL INFORMATION AGREEMENT The User agrees to protect the Confidential Information contained in the Training Systems upon the following terms and conditions: 1) The User agrees to hold and receive all such Confidential Information in strict confidence; 2) The User agrees not to disclose the Training Systems to any other party for any other reason; 3) The User agrees that it will not reproduce any portion of the Training Systems except as allowed for personal use and the User will, under no circumstances, make any derivative use of the Confidential Information; 4) The User agrees that it will use the Confidential Information solely for purposes expressly allowed herein and, upon written request, the User will immediately return to Avfuel all copies of the Training Systems in possession of the User or its employees; 5) As a qualification to Sections 1, 2, 3, and 4, the commitments of the User in this Agreement shall not be applicable with respect to the following: (a) Confidential Information of Avfuel which is or becomes public knowledge after disclosure to the User other than through the breach by the User or its employees or other representatives of the commitments made in this Agreement; (b) Confidential Information of Avfuel that the User can prove was in its possession prior to the time of receipt from Avfuel; (c) Confidential Information of Avfuel that the User can prove was independently developed by representatives of the Receiving Party and was not based on or derived from the Confidential Information of Avfuel; and (d) Confidential Information of Avfuel which the User is required to disclose under process of law; provided, however, that in such event the User will, prior to such disclosure, give notice to Avfuel of such required disclosure and, if requested, will give Avfuel the opportunity to prevent or to limit such disclosure by proper legal procedures; and 6) The User acknowledges that Avfuel has agreed to provide its Confidential Information in specific reliance upon the commitments contained in this Agreement; acknowledges that, in the event of a breach by the User of its commitments in this Agreement, the damages to Avfuel may be irreparable in nature and may not be susceptible to monetary determination; and agrees that, in the event of the User’s breach of any of its commitments in this Agreement, Avfuel shall have the right, in addition to seeking and securing damages and other remedial rights prescribed under applicable law, to seek and secure specific compliance by the User with such commitments through the order for injunctive relief by a court of competent jurisdiction. The User acknowledges and agrees that no warranties of any kind are made with respect to the Website and the information is being provided to the User on an “AS IS, WITH ALL FAULTS” basis. Any rights not expressly granted herein are reserved by Avfuel. Avfuel reserves the right to update this User License Agreement at any time without notice to you. The most current version of the User License Agreement may be found on the Website. This document constitutes the entire agreement of the Parties with respect to their Website Access Agreement and their disclosure and use of Confidential Information disclosed in connection with the Training Systems and no cancellation or amendment of this Agreement will be effective unless in writing and signed by both Parties. This Agreement is being made under and shall be interpreted in accordance with the laws of the State of Michigan. Any lawsuit to interpret or enforce and provision of this Agreement shall be brought in the State of Michigan, and exclusive jurisdiction shall lie with the courts located in Washtenaw County, Michigan and each Party hereby submits to the exclusive jurisdiction of those courts.
